These Terms of Service ("Terms") govern your use of Duegent, a conversational portfolio research platform ("the Service"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. The Service
Duegent is a research tool. It helps you organise portfolio holdings you choose to record and generates AI-assisted research artifacts about them. The Service does not provide investment advice, is not a broker-dealer or investment adviser, does not execute trades, and never holds client funds or securities.
All output is AI-generated research material, may contain errors, and must not be relied on as a recommendation to buy, sell, or hold any instrument. You are solely responsible for your investment decisions.

2. Accounts and Eligibility
You must be at least 18 years old to create an account. The Service concerns investment research, and in most jurisdictions a brokerage account is not something a minor holds independently.
You must provide accurate registration information and keep it up to date. You are responsible for safeguarding your credentials and for all activity under your account. If you use the Service on behalf of an organisation, you represent that you are authorised to accept these Terms on its behalf.
3. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose.
- Attempt to gain unauthorized access to systems, accounts, or data, or interfere with the operation of the Service.
- Resell, sublicense, or redistribute access to the Service without our written permission.
- Extract data from the Service through bots, scraping, or other automated means, or circumvent usage limits.
- Use the Service to produce or distribute content that violates applicable securities or consumer-protection law.
4. Bring Your Own Agent (Self-Host Mode)
In Self-Host mode, the Service connects to a coding-agent engine that you supply under your own subscription with its vendor. Your use of that engine is governed solely by the vendor's terms, and you are responsible for complying with them.
Changes the vendor makes to its pricing, rate limits, policies, or availability — including discontinuing the engine — are outside our control and do not constitute a breach of these Terms by us. We never receive, store, or transmit your engine credentials; they remain on your machine.
5. Intellectual Property
You keep everything you put in. Your holdings, notes, memos and the research artifacts generated for you are yours; we claim no ownership over them and do not use them to train models. We process them only to run the Service for you.
We keep the Service itself — the software, interface, prompts, computed signal methodology and brand. Nothing in these terms transfers any of it to you, and you may not copy, resell or redistribute the Service.
Market data reaching you through the Service belongs to its original providers (SEC EDGAR, FRED, EODHD and others named in the Privacy Policy) and is subject to their terms. You may use it for your own research; you may not redistribute it as a data feed.
6. AI-Generated Content
Everything the agent writes is AI-generated and may be wrong. It is research material, not advice, and you are solely responsible for reviewing it and for any decision you take.
Duegent assembles a factual dossier before any model call and requires the model to cite only that dossier, which reduces invention but does not eliminate it. Computed signals can be wrong, source data can be stale or misreported, and a model can misread material it was given correctly.
We publish the historical hit rate of our own directional readings precisely so you can judge how much weight to give them — including when that record is unflattering. Past accuracy is not a prediction of future accuracy.
We do not guarantee the accuracy, completeness, timeliness or suitability of any output, and outputs carry an AI-content notice wherever they appear.
7. Subscriptions, Trials & Payments
During the invite-gated public beta, Duegent is free: no plan is on sale, no payment method is collected, and nothing is billed. The following terms take effect when paid plans launch. Paid plans will include free trials: Pro (7 days) and Managed (3 days). Unless you cancel before the trial ends, the trial converts automatically into a paid subscription, and subscriptions renew automatically at the end of each billing period until cancelled. Cancellation takes effect at the end of the current period.
All payments are processed by Paddle, which acts as the Merchant of Record for all transactions. By making a purchase you also agree to Paddle's terms; Paddle handles invoicing, sales tax, and VAT collection.
If you are a consumer in the EU/EEA or UK, you have a statutory 14-day right of withdrawal (cooling-off period) for online purchases. Nothing in these Terms removes any refund or other mandatory rights you have under the consumer-protection laws of your country of residence.
8. Service Changes and Availability
We may add, change or remove features, and may suspend or discontinue the Service. During the public beta we do this without notice and without any service-level commitment: expect downtime, expect features to move, and do not rely on the Service being available at a particular moment.
Keep your own copy of anything you would be unhappy to lose. Everything you record can be exported at any time from the account page, and we recommend doing so periodically during the beta.
Third-party dependencies — your coding-agent provider, market-data vendors, email delivery — can fail or change their terms independently of us. Where that degrades the Service, we surface the gap rather than filling it with a guess, but we cannot guarantee continuity of anything we do not operate.
9. Termination
We may suspend or terminate your access if you violate these Terms. You can delete your account at any time from your account settings; your data is deleted as described in the Privacy Policy. Upon termination your right to use the Service ceases; provisions that by their nature should survive (including the warranty disclaimer, limitation of liability, and governing law) remain in effect.
10. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service, or any data or AI output it provides, will be accurate, complete, uninterrupted, or error-free.
11. Limitation of Liability
To the maximum extent permitted by applicable law, Duegent is not liable for any investment or trading losses, lost profits, or other financial losses arising from decisions you make based on the Service or its AI-generated output. This exclusion is fundamental to the bargain between you and us.
To the same extent, we are not liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of data or goodwill. Our total aggregate liability for any claim shall not exceed the amount you paid to us in the 12 months preceding the event giving rise to the claim.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for fraud, wilful misconduct, gross negligence, or death or personal injury caused by our negligence.
12. Governing Law
These Terms are governed by the laws of [Jurisdiction — to be confirmed by counsel], without regard to conflict-of-law provisions. If you are a consumer, nothing in these Terms removes mandatory rights you have under the laws of your country of residence.
13. Changes to These Terms
We may update these Terms from time to time. For material changes we will give reasonable advance notice by email or in-product notice before they take effect. If you do not agree to a change, you may stop using the Service and close your account before it takes effect.
